Annexium's templates help draft effective contracts more efficiently, faster and of a higher quality. For all templates, standardisation is a path to quality. It reduces drafting time, costs and frustration in two ways. Firstly, standardisation leads to familiarity, reducing comprehension time for contract drafters and readers. Secondly, standardisation makes templates modular, thus more easily cut, pasted and customised.
The following eight features are the reason why Annexium is the faster, easier, cheaper and better way to create agreements and other legal and business documents; especially to develop and commercialise ideas, businesses, products and services.
A standardised set of five agreement layouts are used for Annexium's template agreements - schedule, traditional, form, memo, and letter layouts. Form, memo and letter agreements are simpler or shorter, avoiding formality when higher levels of legal security are not required or may derail or disrupt getting a deal done.
Contract drafting productivity and the ease of use of a template agreement is improved by standardising the wording as well as the positioning and layout style of agreement clauses, schedules, and attachments. Reading and drafting is easier when clause headings and wording are familiar and only vary when needed. Therefore, in Annexium agreements, the definitions and interpretation clauses appear at the start and general or boilerplate clauses are grouped as subclauses for easier assessment at the end of agreements. Other clauses are arranged in a chronological order or in an order that is practical for a specific type of agreement.
Drafting is faster and easier with styled templates than labouring with unstyled plain text. Users of keyboard shortcuts draft even faster with styles. Annexium's templates are styled in Miscrosoft Word, with automatic numbering, and can be copied into other wordprocessors. Annexium's templates use styles that are common across them all, making it a sinch to cut, paste and reuse elements from one template document into another.
More than using just plain language, Annexium's templates have been tested by specialist practitioners with advanced writing and contract design skills. This ensures each is precise, unambiguous, comprehensive, thoughtful and structured.
Contemporary business models and drafting methodologies enhance the commerciality of Annexium's template agreements. The agreements, and their supporting wordprocessor and spreadsheet documents, draw on multidisciplinary learning. This extends beyond compliance to include risk minimisation by improving project diagnosis and business processes.
Given its practical focus, Annexium attracts members who seek to deliver greater value to their clients through advanced use of productivity software and social networking with peers. Our vision works towards collaborative drafting using cloud computing.
Good document title conventions and extensive document metadata for templates (ie detailed taxonomy), speeds discovery of relevant templates by drafters.
The taxonomy of Annexium's templates is codified. Each is identified at the very least by a document name, author, date of publication, description, format and file type. Our template naming convensions avoid obscure document titles such as “C125-2012” or even "Sale Agreement". This is important when the most relevant template is needed, and quickly. Titling an agreement as "Sale Agreement" is OK legally, but inefficient for drafters seeking greater efficiency, eg it does not identify the type of asset it would suit, eg a business, furniture or equipment?
Annexium's templates are categorised by a number of contexts or perspectives. This makes them easier to locate, understand and use. For example with tagging and glossary links we categorise some templates in may ways - by areas of law or other disciplines, industry, business functions and even business life cycles.
Productivity and profit margins in contract-based transactions are greatly improved by working with packages of related templates. They give the big picture. Annexium's template packages provide a ready-to-use foundation for novice drafters and non-specialists and better templates for experienced members. An example of a package are software development agreement packages which include agreements supported by workflows, questionnaires, forms and spreadsheets. Many of Annexium's templates come packaged, eg with checklists to prompt thinking and dialogue between drafters and clients; questionnaires designed to extract instructions faster and shift that work to subject matter experts; workflows placing templates within a transaction methodology; and spreadsheets to collate data to incorporate into agreements as attachments or by reference.
